The purpose of the Plan is to secure for XXX and its stockholders, through the purchase of shares of XXX’s Common Stock (“Shares”) by Eligible Associates (those who have elected to purchase Shares are collectively referred to as “Participants”), the benefits of the additional incentive inherent in the ownership of XXX’s capital stock by its Eligible Associates, who are important to XXX, and to help XXX secure and retain the services of such Eligible Associates.
